Upvault Terms of Service
Effective Date: March 4, 2026Please read these Terms of Service ("Terms") carefully before using Upvault. By downloading, installing, or using Upvault, you agree to be bound by these Terms. If you do not agree, do not use the software.
1. About Upvault
Upvault ("the Software") is a local-first desktop AI workspace application developed and operated by eblabs, a sole proprietorship. The Software is sold as a one-time purchase license through Lemon Squeezy, our authorized Merchant of Record.
2. License Grant
Upon purchase and license activation, we grant you a personal, non-exclusive, non-transferable, limited license to install and use the Software on the number of devices permitted by your plan (1 device for Free plan; unlimited devices for Standard and Premium plans), solely for your personal or internal business use.
You may not: sublicense, sell, resell, transfer, assign, or otherwise commercially exploit the Software; modify, reverse engineer, decompile, or disassemble the Software; use the Software to build a competing product.
3. Bring Your Own Key (BYOK)
The Software operates on a Bring Your Own Key model. You must provide your own API keys from third-party AI providers (e.g., Anthropic, OpenAI). We do not store, transmit, or have access to your API keys. You are solely responsible for the usage costs and compliance with the terms of your AI provider.
4. User Data & Privacy
The Software stores your data locally on your device. Optional cross-device sync uses encrypted storage via your connected cloud account (e.g., Google Drive). We do not collect or sell personal data. Please refer to our Privacy Policy for full details.
5. Payments & Plans
Upvault offers a Free plan and paid plans (Standard and Premium) as one-time purchases. All payments are processed by Lemon Squeezy. Pricing and plan features are listed on our website and may change at any time. Existing license holders are not affected by plan changes made after their purchase.
6. Refunds
Refunds are governed by our Refund Policy, available on our website. All refund requests are processed by Lemon Squeezy as our Merchant of Record.
7. Intellectual Property
All rights, title, and interest in and to the Software, including all intellectual property rights, remain with eblabs. These Terms do not grant you any rights in our trademarks, service marks, logos, or trade names.
8. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EBLABS DISCLAIMS ALL WARRANTIES INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EBLABS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SOFTWARE. OUR TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE.
10. Termination
We reserve the right to terminate or suspend your license if you violate these Terms. Upon termination, you must cease all use of the Software. Your locally stored data will not be deleted by us.
11. Changes to Terms
We may update these Terms from time to time. We will notify you of significant changes via the Software or our website. Your continued use of the Software after changes constitutes acceptance of the new Terms.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of the Republic of Korea, without regard to its conflict of law provisions. Any disputes shall first be attempted to be resolved amicably. Where applicable, mandatory consumer protection laws of your country of residence may also apply.
